Q1: Why are these transactions being undertaken?  Borouge Group International will be a global polyolefins champion and will leverage on the strengths of all three companies (Borouge Plc, Borealis, Nova Chemicals) to enhance the overall market reach and positioning, diversify overall product offerings, and drive sustainable value creation and long-term growth. The objective has been to ensure that the Borouge free float shareholders are provided with the opportunity to own and trade shares in a larger, more diversified business, with scale and enhanced financial returns such as an increased dividend, with the same economic terms as ADNOC and OMV.

Q2: What do the transactions mean for my current shareholding?  Borouge Group International will seek a primary listing on the ADX. As part of this process, Borouge Group International is expected to launch, post completion of the transactions, a share exchange offers to Borouge Plc free float shareholders, allowing them to seamlessly exchange the shares they own in Borouge for new shares in Borouge Group International, on the same financial terms as ADNOC and OMV. This is all subject to discussion with and approval from SCA and the ADX.

Q3: When do you expect the transactions to complete?  Completion of the proposed combination of Borouge and Borealis and the acquisition of Nova are estimated in Q1 2026, subject to regulatory approvals and other customary conditions, including approvals from SCA and the ADX.

Q4: How confident are the shareholders on receiving all the necessary approvals, particularly considering the structuring complexities?While it is still early in the process, ADNOC and OMV have prepared a detailed plan with their advisors regarding regulatory approvals, and they are confident that all relevant approvals shall be obtained by end of Q1 2026.

Q5: How will the transactions affect the company’s leadership and operations? The new entity will retain key leadership across the three organisations to ensure continuity. Our day-to-day operations as Borouge will continue as usual, with a focus on integrating the best practices from all companies.

Q6: Will there be any changes to the company’s dividend policy? At this time, we do not anticipate any changes to Borouge Plc’s dividend policy and have announced our intention to pay $1.3bn (15.88 fils per share) for 2025. Any future adjustments will be communicated promptly. The Borouge Group International envisages a payout ratio of 90% with potential to increase dividends based on free cash flow generation as well as a minimum dividend per share of 16.2 fils per share, which represents a 2% uplift on the existing Borouge Plc dividend.

Q7: How does this align with the strategic priorities of ADNOC and XRG? Upon completion of the transactions, and subject to regulatory approvals and customary conditions, ADNOC's stake in Borouge Group International will be transferred to XRG, fully aligning with ADNOC’s ambition to become a top five global chemicals player by 2030 and supporting XRG’s global chemicals growth strategy and value-creation agenda.
